Welcome to SoftMayo LLC (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, products, and services. By engaging with SoftMayo LLC, you agree to comply with and be bound by these Terms. Please read them carefully.

1. Scope of Services

SoftMayo LLC provides IT solutions including but not limited to:

Website and Mobile App Development
UI/UX Design
Digital Marketing and SEO
Graphic Design and Branding
Content Creation

All services are subject to individual project scopes, timelines, and agreements as outlined in client proposals or contracts.

2. Client Responsibilities

Clients must:

Provide accurate information, content, and feedback in a timely manner.
Ensure all submitted materials do not infringe third-party rights.
Review deliverables within agreed timelines.

Failure to meet responsibilities may delay project delivery and/or incur additional costs.

3. Payment Terms

All invoices are due as specified in the proposal or invoice, typically 50% upfront and 50% upon completion.
Late payments may incur a late fee of 5% per 15 days of non-payment.
All payments are non-refundable once work has begun unless otherwise agreed in writing.

4. Revisions and Approvals

Most projects include a set number of revision rounds (as per agreement).
Additional revisions beyond the agreed limit will incur extra charges.
Final approval must be provided in writing before deployment or delivery.

5. Intellectual Property

SoftMayo LLC retains ownership of all materials, code, and designs until full payment is received.
Upon final payment, the client receives full rights to the final deliverables, unless otherwise stated.
We reserve the right to showcase completed projects in our portfolio.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the project. This includes business strategies, source code, client lists, and internal processes.

7. Limitation of Liability

SoftMayo LLC shall not be liable for:

Any indirect, incidental, or consequential damages.
Loss of profits, data, or business resulting from use or inability to use the service.
Delays caused by third-party platforms, force majeure, or client-side issues.

Maximum liability is limited to the amount paid by the client for the specific service.

8. Warranties & Support

We offer a 30-day support window after project completion for bug fixes or minor updates.
Long-term maintenance or feature upgrades require a separate agreement.
No warranty is provided for third-party integrations, plugins, or APIs.

9. Termination

Either party may terminate the project with written notice.
If terminated, the client agrees to pay for all work completed up to the termination date.
No refunds will be provided for completed services.

10. Governing Law

These Terms are governed by the laws of the State of [Insert State, e.g., New York], United States. Any disputes shall be resolved in the courts located within that jurisdiction.

11. Amendments

SoftMayo LLC reserves the right to modify these Terms at any time. Updated terms will be posted on our website and apply immediately upon publication.
